Terms of Service

1. Scope of Services

Services are defined in a Statement of Work (SOW) or invoice. Any work outside this scope (e.g., feature additions, extra revisions) will be billed separately.

2. Payment & Refunds

• Deposits: An upfront, non-refundable deposit (typically 50%) is required to begin work.
• No Refunds: Due to the custom nature of our work, all payments are strictly non-refundable.
• Late Payments: Invoices are due upon receipt. Payments delayed by more than 7 days incur a 5% monthly late fee, and the agency may suspend work or withhold deliverables until payment is made.

3. Project Dormancy

If a client becomes unresponsive for 14 days, the project is marked "dormant" and may incur a 15% reactivation fee. If unresponsiveness continues for 30 days, the project may be terminated without refund.

4. Intellectual Property

Ownership of final deliverables is conditional upon full payment of all outstanding invoices. Until full payment is received, Orlyn retains all rights to the work produced.

5. Liability & Disclaimer

Services are provided "as is" and "as available" with no guarantees regarding specific business outcomes or ROI. By using our services, you agree to an "Absolute Waiver and Release of Claims," waiving and discharging Vyuhavarahi, Orlyn, and its founder, Suchir Reddy, from all liabilities and claims.

6. Indemnification

Clients agree to indemnify and hold Vyuhavarahi, Orlyn, and its founder harmless against any claims, damages, or legal costs arising from the client's use of services or violation of these terms.

7. Statute of Limitations

Any claim against the agency must be commenced within one year of the cause of action accruing.
